Terms & Conditions — Nova Code Platform
1. Introduction & Acceptance
Welcome to Noca Code Platform (hereinafter referred to as the "Platform" or "we"), an online platform for software development services and digital solution design, operating in accordance with the laws in force in the Kingdom of Bahrain.
By using the website, submitting a request, creating an account, or agreeing to the electronic contract upon request, you acknowledge that you have read, understood, and agreed to these terms without reservation. If you do not agree, please do not use the Platform.
2. Definitions

| Order | A service purchase request submitted through the Platform, subject to management review and approval. |
| Documents | Invoices, receipts, contracts, or any document issued through the system following order approval. |
3. Nature of Services & Packages
- Packages are presented as general pricing and feature benchmarks; descriptions may be revised for clarity without creating contractual obligations toward previously approved orders.
- Any custom task outside the package scope is subject to a separate price quote or contract following negotiation.
- The Platform does not constitute legal, tax, or accounting advice unless explicitly stated in a separately signed offer.
4. Orders, Pricing & Tax
- Prices displayed on the website are in Bahraini Dinar (BHD) to three decimal places unless otherwise stated.
- Value Added Tax (VAT) at 10% applies to invoices and financial documents issued by the Platform in accordance with regulations in force in the Kingdom of Bahrain, unless the contract or a legal exemption specifies otherwise.
- An order remains under review until approved by management; no final execution obligation arises until formal approval and fulfillment of the applicable payment conditions.
- An order may be rejected or amendments to its description or attachments may be requested without detailed explanation if it contravenes policies or laws.
5. Payment & Transfer Confirmation
- Payment methods available on the Platform (such as bank transfer) may be offered. Account details and instructions are displayed on the Payment Methods pages and may be updated.
- When proof of payment is requested, the client must upload a clear image of the transaction in the required format; management verifies the match to the extent possible without guaranteeing immediate confirmation in all cases.
- Any delay in payment verification may delay the start of execution and shall not be considered a breach by the Platform if the cause of delay is beyond its reasonable control.
6. Delivery, Timelines & Cooperation
- Estimated timelines for delivery are indicative unless established as an explicit commitment in a signed offer or contract. Delays caused by the client's failure to provide necessary materials (content, credentials, approvals, third-party authorizations) are attributed to the client.
- The client must provide accurate information; any errors in data may affect quality or delivery.
- Deliverables may be provided via links, repositories, or channels agreed upon in the approved order.
7. Scope Changes (Change Requests)
- Any increase in scope, number of screens, integrations, or design revisions beyond what was agreed may require an additional price quote or timeline extension.
- Informal messages outside the agreed Platform channels are not recognized when they conflict with the approved order or contract.
8. Intellectual Property & Licensing
- Upon full settlement of amounts due for the agreed milestone, the client is granted the right to use the deliverables in accordance with the license scope specified in the contract or approved work proposal (typically commercial use by the organization unless otherwise agreed).
- General components, open-source libraries, or third-party assets remain subject to their original licenses.
- Removing legal marks or attributions present in deliverables is prohibited unless permitted in writing.
9. Warranty & Post-Delivery Bug Fixes
- A warranty for fixing software bugs arising from the delivered work within the agreed scope is provided during a specified period following final delivery (as stated in the contract or approved order policy).
- The warranty does not cover issues resulting from client modifications, third-party actions, external hosting, or system updates beyond the Platform's control.
10. Service Termination & Suspension
- The Platform may suspend an account or order if fraud, misuse, or violation of these terms or applicable law is established.
- The client has the right to request work stoppage as governed by the Refund Policy, unless work has already commenced or the contract stipulates otherwise.
11. Disclaimer & Limitation of Liability
- Services are provided "as is" within best professional practices; we do not guarantee that results will be entirely free of rare errors or compatible with every future operational scenario without maintenance.
- We are not liable for indirect damages (loss of anticipated profits, business interruption, reputational harm) to the maximum extent permitted by law.
- Our total liability in relation to a specific order shall not typically exceed the amounts paid and due for that order under the contract or applicable policies, unless the law provides otherwise.
12. Privacy & Data
Personal data is processed in accordance with the Privacy Policy published on the website and updated from time to time.
13. Governing Law & Jurisdiction
These terms are interpreted and enforced in accordance with the laws of the Kingdom of Bahrain. The competent courts and authorities of the Kingdom of Bahrain shall have jurisdiction over disputes arising from these terms or the services, unless arbitration or an alternative is agreed upon in writing.
14. Amendments to Terms
We may update this document. Updates are announced on the website with an effective date. Your continued use of the Platform after an update constitutes acceptance of the amended terms for subsequent uses; previously approved orders are governed by the terms in effect at the time of approval unless otherwise agreed.
